Catalog Description
Internal and external control systems within an organization. Managerial duties and responsibilities. The role of boards. Aligning management and stakeholder interests. Corporate social responsibility.
Course Objectives

This course serves as an overview of tools, mechanisms and policies that are required to balance internal and external control systems within an organization. Topics include director’s duties and responsibilities, the role of boards, aligning management and stakeholder interests and corporate social responsibility.

Software Usage
Students will use MS Office applications (Word, Excel, Access, Powerpoint) to work on their weekly assignments about 2 hours a week.
Course Learning Outcomes

Upon succesful completion of this course, a student will be able to
1. Describe the purposes of corporate governance
2. Explain and apply theories about the roles of different governance mechanisms in improving the performance of companies
3. Assess the primary roles of different governance bodies within a company, such as, the board ofdirectors, nomination committees and audit committees
4. Explain what is meant by internal control and enterprise risk management
5. Use economic theories and empirical studies as tools for an evaluation of corporate governance rules and practices
